MDL reserves the right to adjust rates annually to reflect market conditions.
- 1.2
All prices are:
• Exclusive of any Sales Tax (VAT, GST), withholding tax, tax permits, duties, tariffs or similar charges.• Exclusive of import/export duties (temporary or otherwise), customs costs, port fees, vessel dues or any such similar fees, which may be applied by Client or End-client.
- 1.3
Any such costs, if incurred by MDL, shall be reimbursed by Client at a rate determined by MDL to reflect the nature and extent of the expenditure.
- 1.4
Onshore support beyond the quoted scope will be charged, and invoiced as incurred, at MDL’s standard rates within the MDL Onshore Personnel Rates Table. No additional charges apply where support is already included within quoted sums.
- 1.5
Lump sums are based on work during standard hours (08:00–16:30, Monday to Friday). For requirements outside of these hours, MDL reserves the right to revise the lump sum to reflect additional costs incurred.
- 1.6
Work conducted on 25th-26th December or 1st-2nd January will incur a 100% uplift on applicable personnel rates (onshore or offshore).
- 1.7
Rate Types apply as follows:
• Type 1: Monday – Friday - 08:00 –16:30
• Type 2: Monday – Friday - 16:30 – 08:00
• Type 3: Saturday – Sunday & Public Holidays - 00:00 – 24:00
- 1.8
Time is rounded to the next full hour, aligned with UK GMT or BST during service delivery.
- 1.9
Local travel by MDL personnel in MDL vehicles will be charged at £1.20 per mile.
- 1.10
Rates and charges are based on MDL’s understanding of project scope and duration at order award. If equipment hire or operational support materially exceeds this, MDL reserves the right to review and adjust commercial terms via variation order to reflect extended use and impact on availability. This reassessment does not imply that charges will automatically increase but ensures MDL has the right to formally review and adjust if appropriate.
- 2.1
Nominated mobilisation countdown windows are subject to MDL’s review and written confirmation of equipment availability for the agreed scope. Where nominated dates fall within a period requiring project-specific preparation, fabrication, or modification, MDL reserves the right to propose revised dates in consultation with Client.
- 2.2
Mobilisation within the quoted window period is included in the proposal rates. Mobilisation outside this period will incur a premium. Premium: Requests for a longer countdown period will incur a +25% (twenty-five) uplift to the rates per additional 30 (thirty) day period.
- 3.1
The hire period for equipment shall commence on the day of loading the first piece of equipment at the agreed collection point and shall continue until the day the last piece of equipment is received and offloaded at the agreed return location. The default return location is MDL’s facility in Scotland, unless otherwise stated.
- 3.2
All day rates are applied on a full calendar day basis. No partial day rates are offered.
- 3.3
Transit Rates (and Flat Rates) apply from the day of loading at the collection point, even if equipment is staged or held prior to departure.
- 3.4
Rate application applies to the entire equipment package simultaneously.
- 3.5
Where the project requires staged collections and/or returns, individual items may be hired/off-hired once collected/returned, but only where this has been agreed and documented in advance with MDL.
- 4.1
For MDL to reserve equipment and personnel, MDL must be provided with a LOI / Contract or Call-Off, formally agreed by both parties, containing the following:
• Details of the equipment and personnel required.
• Commitment to a Commencement Date or the Countdown Window as specified above.
• Commitment to the Cancellation policy as specified.
- 4.2
Adequate time must be allowed for contract review and mutual agreement of terms prior to equipment or personnel mobilisation. MDL cannot guarantee adherence to requested dates if engagement is delayed.
- 4.3
All equipment offered is subject to availability.
- 4.4
In the event Client fails to commit in a timely manner, and subsequently the equipment originally proposed is not available, then alternative equipment may be offered, if available, and additional costs may apply.
- Optional and Multi-Quantity Items
- 4.5
Where the proposal includes optional equipment / personnel or multiple quantity options, MDL will only book the scope confirmed in writing by Client.
• Optional items will not be booked unless explicitly instructed.
• For items quoted with multiple quantity options, MDL will assume a default booking of 1 OFF unless a higher quantity is confirmed.
- 4.6
For the purpose of minimum hire, cancellation terms, and other associated commercial provisions, MDL reserves the right to interpret the full proposed scope as accepted where:
• Client’s order references the proposal in full;
• No clear exclusions or quantity confirmations are provided.
- 4.7
Where ambiguity exists, MDL’s commercial terms will apply to the full scope quoted.
- Pre-Mobilisation
- 5.1
Equipment Pre-Mobilisation charge covers MDL’s internal works required to prepare the equipment for mobilisation. Typical pre-mobilisation activities include lifting rigging recertification, padeye recertification, and pre-project equipment inspections. Where winch(es) form part of the package, this charge may also include rope spooling. Note: These charges exclude function testing, loadout, craneage, transportation, backload, and any reinstatement works post-project.
- Loadout (Preparation & Dispatch)
- 5.2
Equipment Loadout refers to the preparation of the equipment for collection or dispatch from the nominated location. Typical loadout activities include disconnection, disassembly (where required), yard movements and staging, packaging, forklift operations, craneage (where required) and lifting activities, and loading onto transport. Note: These charges exclude pre-mobilisation, mobilisation, backload, and any reinstatement works post-project.
- Mobilisation (Outgoing Transport)
- 5.3
Equipment Mobilisation covers all transport and logistics required to deliver the equipment to the agreed site or mobilisation port. Typical mobilisation activities include domestic or international road, sea, or air transport, interface and handling from one mode of transport to another, quayside re-assembly (if shipped in sub-assemblies), craneage, access equipment (e.g. cherry pickers), and temporary site amenities, and vessel mobilisation operations. Note: These charges exclude pre-mobilisation, loadout, demobilisation, backload, and any reinstatement works post-project.
- Demobilisation (Incoming Transport)
- 5.4
Equipment Demobilisation is the reverse of mobilisation, covering all transport and logistics required to return the equipment to the agreed demobilisation location. Typical demobilisation activities include offload from vessel and quayside / site handling, equipment disassembly (if required), packaging and loading for return transport, and all domestic or international road, sea, or air transport required to return the equipment to the agreed demobilisation location. Note: These charges exclude pre-mobilisation, loadout, mobilisation, backload, and any reinstatement works post-project.
- Backload (Receipt & Unloading)
- 5.5
Equipment Backload refers to the reception of equipment at the end of the project. Typical backload activities include forklift operations, craneage (where required) and lifting activities, offload from transport (e.g. trailer, container), yard movements and staging, reassembly (where required to return to a storable configuration). Note: These charges exclude pre-mobilisation, loadout, mobilisation, demobilisation, and any reinstatement works post-project.
- Post-Demobilisation Activities
- 5.6
This refers to the activities required on the equipment at the end of the project. Typical post-demobilisation activities include post-project equipment inspections, wire rope removal, cleaning and basic maintenance, re-stowing equipment to MDL’s standard configuration. Note: These charges exclude pre-mobilisation, loadout, mobilisation, demobilisation, backload, and any reinstatement works post-project.
- Reinstatement
- 5.7
Equipment Reinstatement refers to any works required to return the equipment to its original condition following project use. This may include equipment cleaning, inspection, fault diagnosis, repair, replacement of components, project specific modification reversals, and damages repairs. Where applicable, reinstatement may also include repairs or remediation due to abnormal wear and tear. Note: reinstatement charges will not be applied for standard maintenance or wear and tear from normal use.
- 5.8
Any reinstatement works will be charged under a variation order (VO). This charge will include MDL personnel time (in line with the MDL Onshore Personnel Rates Table) and all associated third-party costs, with appropriate mark-up applied. Where appropriate, MDL may submit costs in stages to reflect progress to date or partial execution of the associated works.
- Project Delivery Services
- 5.9
The Project Delivery Services charge covers MDL’s project management and coordination functions, including project engineering support, document control, commercial control, and general administration. Note: These charges exclude activities already costed separately within the proposal or chargeable on a case-by-case basis, such as pre-mobilisation, loadout, mobilisation, backload, any reinstatement works post-project, site-based support, travel and logistics, engineering deliverables, or specialist reviews/meetings.
- 5.10
MDL will maintain progress calls with Client at a frequency appropriate to the project phase — typically weekly or fortnightly during preparation and mobilisation. In earlier stages where mobilisation is not imminent, less frequent check-ins may be agreed to suit both parties.
- 5.11
Standard project documentation provided, includes action tracker, equipment manifest, setup report(s), personnel certifications, spares package list, general arrangement drawings, and lifting drawings.
- 6.1
Mobilisation and demobilisation terms shall align with Incoterms® 2020.
- 6.2
Where no specific mobilisation or demobilisation terms are stated in the proposal body, the following default shall apply:
• Mobilisation shall follow FCA (Free Carrier) terms at the MDL Nominated Location.
• Demobilisation shall follow DAP (Delivered at Place) terms to the MDL Nominated Location.
- 6.3
Where no other Nominated Location is stated within the proposal body, this will default as:
• Location 1: MDL, Maritime House, Gateway Business Park, Aberdeen, AB12 3GW, United Kingdom; and/or
• Location 2: North Base, Keith St, Peterhead AB42 1BP, United Kingdom
- 6.4
MDL operates multiple facilities in North-East Scotland. Equipment for this scope may be located across more than one site at the time of mobilisation. Client will be responsible for arranging collection from each MDL facility as required. If Client requests that MDL consolidates all equipment to a single facility prior to collection, the costs associated with this will be charged to Client and processed as a project Variation Order (VO).
- 6.5
Loadout and Backload activities — including disconnection, disassembly, craneage, forklift use, lifting operations, and handling of MDL equipment at MDL premises — will be executed exclusively by MDL.
- 6.6
Unless otherwise stated, loadout and backload will be executed on a reimbursable basis, charged as a Lump Sum. This will include MDL personnel time (in line with the MDL Onshore Personnel Rates Table) and all associated third-party costs, calculated to reflect the total cost of execution. Where appropriate, MDL may submit costs in stages to reflect progress to date or partial execution of the associated works.
- 6.7
For the default incoterms, responsibilities for each party are outlined in the table below:

Where MDL undertakes additional responsibilities beyond those stated, a lump sum charge will be defined by MDL to cover the required scope. This charge will include MDL personnel time (in line with the MDL Onshore Personnel Rates Table) and all associated third-party costs, calculated to reflect the total cost of execution. Where appropriate, MDL may submit costs in stages to reflect progress to date or partial execution of the associated works.
- 6.9
Client must give a minimum of 10 (ten) working days’ notice prior to demobilising MDL equipment or personnel. Where shorter notice is given, MDL reserves the right to apply additional charges, increased day rates, or adjust lump sum pricing as required.
- 6.10
Use of MDL’s EORI number or customs details is strictly prohibited without written agreement.
- 6.11
Unless otherwise stated, any mobilisation or demobilisation costs provided by MDL exclude the following:
• Any road transport scheduled outside 08:00–17:00, Monday to Friday (UK time).
• Third-party delays or overruns, including demurrage and weather-related delays.
• Port and customs costs, including port dues, cargo handling, agency fees, and import/export duties.
• Quayside charges.
• Any loading/offloading or handling outside MDL facilities.
Extended handling durations, including:
• Container demurrage beyond 6 (six) hours at port or terminal.
• Road transport not loaded/offloaded within 1 (one) hour of arrival.
- Maintenance
- 7.1
For long-term projects, periodic maintenance beyond standard daily technician duties will be scheduled as required, with associated costs chargeable to Client.
- 7.2
MDL is entitled to 2 (two) hours of routine maintenance per 12-hour period, accumulating to 24 hours per month if unused.
- Standard Supply
- 7.3
MDL systems are supplied with electro-hydraulic powerpacks as standard. Diesel powerpacks are not included unless specifically agreed.
- 7.4
Standard supply includes:
• 20m interconnecting hydraulic hoses and electrical cables between detached MDL assets.
• 20m 4-core (3-phase + earth) ships braided electrical supply cable.
- 7.5
Longer lengths or alternative specifications to be timely advised by Client and charged accordingly.
- Electrical Connections
- 7.6
MDL personnel will connect cables to MDL equipment only. Client is responsible for arranging vessel/site personnel to tie into system switchboards.
- Utility Requirements
- 7.7
Where water cooling is required, a suitable water supply must be provided by Client. If unavailable, provision of a standalone tank and pump falls under Client responsibility.
- 7.8
Client to provide suitable lighting, as deemed appropriate as part of the operational procedures, to ensure adequate visibility for onshore / offshore operations.
- Operational Policies
- 7.9
No welding is permitted on deck while MDL equipment is powered.
- 7.10
Client shall prepare and implement project-specific operating and contingency/abandonment procedures that ensure MDL equipment limits are not exceeded under any anticipated conditions.
- 7.11
Client shall complete a global operational risk assessment for the full integrated spread and environment (e.g., a FMECA or equivalent), including interfaces with non-MDL equipment, and put the resulting controls in place prior to operations
- Transportation Arrangement
- 7.12
The majority of MDL equipment will be available without prior disassembly and can be shipped as fully assembled units. MDL will confirm the manifest with details of the project specific equipment during project planning.
- 7.13
Reel Drive System(s) (RDS) are transported in sub-assemblies. Assembly and disassembly typically require 2 x 12-hour shifts, supported by 1 x MDL Supervisor / Team Lead and 2 x MDL Technicians per shift. A crane, banksman and 2 x riggers are also required. These costs are not included within any lump sums.
- 7.14
4-Track Tensioner(s) (>60Te capacity) are transported in sub-assemblies. Assembly and disassembly typically require 2 x 12-hour shifts, supported by 1 x MDL Supervisor / Team Lead and 2 x MDL Technicians per shift. A crane, banksman and 2 x riggers are also required. These costs are not included within any lump sums.
- 7.15
2-Track & 4-Track Tensioner(s) (≤60Te capacity) are transported fully assembled.
- 7.16
(W)HLS(s) are transported fully assembled.
- Tensioner Specifics
- 7.17
Unless explicitly included in the proposal, trackpads are supplied loose (no pre-installation). Any pad installation / change required, including to suit operational sequence, will be carried out during vessel / site mobilisation (once powered) or during vessel transit / operational preparation. Pre-installation of track pads can be provided on request and will be quoted separately.
- 7.18
MDL tensioners require nitrogen for pre-charging hydraulic accumulators. Client shall provide a suitable nitrogen source during in-country mobilisation and as required for operations. MDL will confirm required volume, pressure, and connection specifications during project planning.
- HLS Specifics
- 7.19
A hang-off plate may be required depending on the product’s end fitting or midline connection. This item is highly project and product specific and typically requires bespoke design, engineering, and fabrication. MDL does not maintain a standard stock of reusable hang-off plates. If required, Client may choose to supply their own, or MDL can provide a project specific solution by separate agreement. Pricing to be confirmed following review of product details and confirmed loadings.
- Safety & Operational
- 8.1
Personnel quantities stated are based on MDL’s standard crewing model for the full base case equipment spread offered and the anticipated operations. Final personnel requirements will be reviewed and confirmed once the detailed operations are fully understood and HAZID/HAZOP's are completed. Should operations, risk assessments, or safety considerations develop in a way that requires additional coverage, MDL reserves the right to increase personnel levels to ensure safe execution.
- 8.2
To support safe and successful project delivery, MDL recommends our personnel attend key client meetings, such as HAZOP or HAZID sessions. Where requested, MDL can provide personnel at MDL’s standard rates within the MDL Onshore Personnel Rates Table, with travel and subsistence charged at the agreed Cost +%.
- 8.3
MDL personnel reserve the right to halt operations if unsafe practices or conditions are observed. Day rates remain applicable during such stoppages.
- 8.4
Where project-specific PPE must be sourced by MDL outside the UK, associated costs will be recharged at the agreed Cost +%.
- Visa, Medical & Certification Requirements
- 8.5
If documentation or approvals are not provided in time, mobilisation may be delayed. MDL accepts no liability for such delays, and rates, minimum hire, and cancellation terms will apply.
- 8.6
MDL recommends a contingency of 100% (minimum 50%) for number of personnel visa approvals.
- 8.7
MDL personnel are trained and certified in OGUK, ENG1 (STCW-compliant), BOSIET, Manual Handling, Abrasive Wheels, Working at Height, MDL Equipment Training, and hold a Seamans Book. MDL personnel do not hold a standalone STCW Medical Certificate. Additional certification, if required, will be charged at the agreed Cost +% and at MDL’s standard rates within the MDL Onshore Personnel Rates Table.
- Vessel Mobilisation & Demobilisation Support
- 8.8
MDL personnel will support 24-hour operations during mobilisation and demobilisation of the vessel at the designated quayside, including lifting and handling operations. Personnel will travel from their home location to oversee equipment assembly and lift onto the vessel, and again for lift-off and disassembly (as required) ahead of onward transportation.
- Equipment Idle & Transit Periods
- 8.9
Where MDL equipment remains installed onboard a vessel during inter-campaign idle periods or intercontinental transits, MDL personnel are required to remain onboard to maintain system readiness. This requirement does not apply where MDL equipment is fully disassembled and transported as cargo.
- Personnel Logistics & Conditions
- 8.10
MDL reserves the right to rotate personnel on/after 28 consecutive days, inclusive of outbound and return travel days. All crew-change costs, including personnel day rates (for travel and any mandated rest), travel, accommodation, and subsistence are chargeable; third-party expenses will be charged at the agreed Cost +%.
- 8.11
Where travel exceeds 14 hours, MDL personnel require a minimum 12-hour rest period before starting shifts; day rates apply during this rest period.
- Client Responsibilities
- 8.12
For offshore scopes, Client shall provide all transport for MDL personnel between the onshore mobilisation / meeting point and the offshore site at no cost to MDL.
- 8.13
For onshore scopes, Client shall provide local transport, accommodation, and meals for MDL personnel at no cost to MDL, meeting good industry practice and not materially below typical UK HSE standards. Local transport includes airport / rail transfers, daily site / quayside shuttles, and ad-hoc in-country movements as required.
- 8.14
Client is responsible for providing suitable welfare facilities—potable water, nutritious meals, safe accommodation, rest areas, and clean sanitary/shower facilities with adequate supplies—compliant with applicable laws and good industry practice, and not materially below typical UK HSE standards.
- 8.15
For projects in high-risk / remote locations (e.g. West Africa, Brazil), Client shall be responsible for all in-country logistics and security arrangements for MDL personnel, including:
• Secure airport meet-and-greet and escorted transfers to accommodation/quayside;
• Secure, fully serviced accommodation within a protected compound while onshore;
• All in-country flights and transfers, with security coverage to/from all airports and transit points; and
• Return logistics and security for MDL personnel through to departure from the international airport.
Where internal flights are required within Africa, these must be booked with Africa World Airlines, unless otherwise agreed in writing by MDL
- 8.16
Where MDL is required to arrange any of the above on Client’s behalf, a lump sum charge will be defined by MDL to cover the required scope. This charge will include MDL personnel time (in line with the MDL Onshore Personnel Rates Table) and all associated third-party costs, calculated to reflect the total cost of execution. Where appropriate, MDL may submit costs in stages to reflect partial execution of the associated works.
- Product Specifications & Equipment Suitability
- 9.1
Client must provide full product data specifications, including, but not limited to, minimum bend radius (MBR), unit weight, outer diameter (inc. tolerance), coefficient of friction (COF), coating type & hardness, compressive limit/allowable squeeze loading, reel dimensions, reel weights, reel packing, offset load indications, drive interface and relevant operating limits. If, based on provided or updated data, the proposed equipment is unsuitable or requires modification, MDL will revise the proposal with alternative equipment and adjusted commercials, where possible.
- 9.2
MDL recommends that a measured survey of reels is undertaken prior to mobilisation to confirm compatibility. Where requested, MDL can provide a dimension check sheet or hub template to support this process
- 9.3
Where applicable, slamming loads and dynamic effects shall be assessed and verified by Client.
- 9.4
No equipment modifications are included unless expressly agreed.
- Deck Interface & Seafastening
- 9.5
MDL equipment must be seafastened using close-fitting tie-down plates welded to the vessel deck. Tie-down plates must not be welded to MDL equipment without prior approval. Client must confirm equipment load paths with MDL.
- 9.6
No allowance is made for deck reinforcement or base enlargements to suit deck constraints.
- 9.7
Seafastening of MDL equipment remains the responsibility of Client. MDL will provide project-specific setup reports and, where applicable, seafastening guidance documents to confirm the design basis of the equipment and recommended methodology. Any deviation from MDL’s guidance may affect the stated equipment capacities.
- Rigging & Project-Specific Requirements
- 9.8
Lifting rigging is typically supplied with steel ferrules. In some cases, aluminium ferrules may still be in use. Where alternative rigging is required to meet local or project-specific standards, associated costs are chargeable to Client.
- Tensioner Specifics
- 9.9
MDL relies on Client-provided product data and assumes the product is suitable for handling in a track-type tensioner. Client is responsible for verifying and ensuring compliance with the minimum conditions below.
- 9.10
Product to have a circular cross-section with continuous diameter along its length. No allowance has been made for taper transitions or step changes in product diameter.
- 9.11
Product to be sufficiently straight for safe handling (typical engineering straightness tolerance applies).
- 9.12
Product shall not induce torsion into the tracks and shall not rotate during operation.
- 9.13
The coefficient of friction (COF) provided by Client, or assumed by MDL, is deemed to be the minimum friction coefficient defined for operational squeeze setting calculations. It is assumed that this friction coefficient is the minimum of; the internal friction coefficient of the product (e.g. product layers), and external friction coefficient (e.g. product – tensioner track pads).
- 9.14
Tensioners are supplied with PU (polyurethane) topped track pads as standard; metal track pads may be available at additional cost.
- 9.15
No provision is made for manufacturing project-specific pads unless expressly stated.
- 9.16
Client shall obtain confirmation from the product manufacturer or contractor that the proposed pad type is suitable for the product interface under the specified project parameters. MDL accepts no liability for incorrect pad selection driven by product characteristics under compressive load.
- 10.1
All products handled by MDL equipment are assumed free from contamination, including but not limited to NORM (Naturally Occurring Radioactive Material) / LSA (Low Specific Activity Material), mercury, or arsenic. No allowance has been made for cleaning, decontamination, handling, or disposal of hazardous substances.
- 10.2
MDL accepts no liability for contamination-related HSE, operational, or commercial consequences. Any associated costs are to Client’s account
- 11.1
Client supplied digital files, documents, drawings, and calculations must be provided in high-quality, editable electronic formats compatible with existing MDL owned software packages. Any required formatting work will be charged accordingly.
- 11.2
One round of Client review / comment is included within the pricing for project-specific documentation. Additional rounds may be subject to variation.
- 11.3
MDL does not provide design calculations, manufacturing drawings, or system reviews; these are proprietary. Supervised review can be facilitated at MDL premises. Intellectual property (IP) rights for MDL equipment remain with MDL.
- 11.4
Information provided during bid stage is subject to confirmation following contract award. While MDL endeavours to ensure accuracy at all times, final validation of equipment specifications will be completed during project execution planning.
